1. Acceptance of Terms

By accessing and using Here2Order ("Platform", "Service", "We", "Our"), you ("User", "Customer", "Restaurant Partner") accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service. Your use of our platform constitutes acceptance of these terms, our Privacy Policy, and all applicable laws and regulations.

2. About Here2Order

Here2Order is a technology platform that facilitates food ordering and delivery services. We act as an intermediary between restaurants and customers, providing technology solutions for online food ordering. We are NOT a food business operator, restaurant, or delivery service provider.

5. Commission Structure & Fees

Here2Order charges a commission of up to 5% on successful orders. Additional platform fees may apply as displayed during checkout. All fees are clearly disclosed before order completion. Settlement terms and payment schedules are defined in separate restaurant partner agreements.

6. User Responsibilities

Restaurant Partners Must:

• Obtain and maintain all required licenses including FSSAI, GST, Trade License, etc.
• Comply with all food safety regulations and local health department requirements
• Provide accurate menu information, pricing, and availability
• Maintain food quality and safety standards independently
• Handle customer complaints and food-related issues directly
• Process orders in a timely manner
• Provide valid business registration and tax documents
• Indemnify Here2Order against any food safety violations or customer health issues

Customers Must:

• Provide accurate delivery and contact information
• Make payment as agreed
• Be available to receive orders
• Report issues promptly and honestly
• Understand that food preparation and delivery are handled by restaurant partners, not Here2Order
• Communicate food allergies and dietary restrictions directly with restaurants

7. Limitation of Liability

Here2Order acts solely as a technology intermediary. All food-related services, delivery, and customer service are provided by independent restaurant partners. We disclaim all warranties, express or implied, regarding the services provided by restaurant partners.

8. Indemnification

Restaurant partners agree to indemnify and hold harmless Here2Order from any claims, damages, or expenses arising from:

• Food safety violations or health department issues
• Customer health problems related to food consumption
• Violation of food safety regulations or licensing requirements
• Delivery-related accidents or issues
• Intellectual property violations
• Any breach of these terms or applicable laws

Customers agree to indemnify Here2Order against any false claims, fraudulent orders, or misuse of the platform.

9. Force Majeure

Here2Order shall not be liable for any failure or delay in performance under this Agreement due to circumstances beyond our reasonable control, including but not limited to: natural disasters, pandemic, government regulations, internet outages, payment gateway failures, restaurant closures, or any other force majeure events.

10. Payment Terms

All payments are processed through third-party payment gateways. We are not responsible for payment failures, chargebacks, or disputes with payment providers. Restaurants are responsible for handling refunds and payment disputes with customers directly. Settlement terms are governed by separate commercial agreements with restaurant partners.

11. Intellectual Property

The Here2Order platform, technology, and branding are our intellectual property. Restaurant partners retain ownership of their content but grant us license to display it on our platform. We reserve the right to moderate, edit, or remove content that violates our policies or applicable laws.

12. Privacy and Data Protection

We are committed to protecting user privacy in compliance with applicable data protection laws. Please review our Privacy Policy for detailed information about data collection, use, and sharing practices.

13. Platform Availability

We strive to maintain platform availability but do not guarantee uninterrupted service. We reserve the right to suspend, modify, or discontinue services for maintenance, security, or business reasons. We are not liable for any losses due to service interruptions.

14. Termination

We reserve the right to immediately suspend or terminate accounts for violation of these terms, fraudulent activities, food safety violations, customer complaints, or any other reason deemed necessary for platform safety. Restaurant partners may terminate with 30 days written notice, subject to completion of pending orders and settlements.

15. Dispute Resolution and Jurisdiction

Mandatory Arbitration: All disputes shall be resolved through binding arbitration under the Arbitration and Conciliation Act, 2015. The arbitration shall be conducted in English in [Your City], India.Users waive the right to trial by jury and class action lawsuits.

The courts of [Your City], India shall have exclusive jurisdiction for any matters not subject to arbitration.

16. Regulatory Compliance

Users must comply with all applicable laws including but not limited to: Food Safety and Standards Act 2006, Consumer Protection Act 2019, Information Technology Act 2000, GST laws, and all local regulations. Non-compliance may result in immediate account termination.

17. Changes to Terms

We reserve the right to modify these terms at any time. Significant changes will be communicated through email or platform notifications. Continued use after changes constitutes acceptance. If you disagree with changes, you must stop using our services immediately.

18. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
